Sales Terms & Conditions (T&C) of Sale

These Sales Terms & Conditions apply to all orders, invoices, and commercial transactions processed through our Odoo system.

1. Contracting Entity

All commercial sales, invoices, and related obligations are handled exclusively by the respective German restaurant entity operating the location where the order was placed.

Administrative and IT support services may be provided by the Group’s IT Hub and Holding Company, but they are not the contractual counterpart for sales transactions.

2. Prices and Payment Terms

Unless otherwise stated, all prices are inclusive of the applicable VAT.

Invoices are payable within 21 calendar days from the invoice date, unless a different term is specified.

In case of late payment, we may charge:

  • a fixed interest fee of 10% of the outstanding balance, and
  • reminder and administrative fees where legally permissible.

We reserve the right to suspend service provision in case of overdue payments.

3. Default and Debt Recovery

If payment remains outstanding 60 days beyond the due date, we may initiate collection through a certified debt recovery agency.

All resulting costs, including legal and administrative fees, shall be borne by the customer.

4. Withholding Taxes

Customers located in jurisdictions that apply withholding taxes must bear these costs themselves.

The total invoiced amount remains payable in full and cannot be reduced by any foreign statutory deductions.

5. Delivery of Goods and Services

We will make reasonable efforts to deliver goods or services within agreed timeframes.

However, delivery dates are non‑binding unless expressly agreed in writing.

We are not liable for delays caused by operational constraints, supply shortages, or force majeure events.

6. Warranty & Liability

We are liable only for damages caused by:

  • intentional misconduct, or
  • gross negligence.

We do not guarantee specific performance results unless explicitly agreed.

We cannot be held responsible for indirect damages, lost profits, or losses caused by third‑party service interruptions.

Any claims must be submitted in writing within 8 days of receiving the goods or services.

7. Ownership Retention

Delivered goods remain our property until full payment is received.

8. Applicable Law & Jurisdiction

All contractual relations are governed exclusively by German law.

Unless mandatory consumer protection rules specify otherwise, the competent courts are those located in the city of our operating German entity.

9. Amendments

We reserve the right to modify these Sales Terms & Conditions at any time.

The version in effect at the time of the order shall apply.
